Our client
Adexen Recruitment Agency is looking for an Assistant Company Secretary for a leading and full- service international practice, provides timely and solution-driven services to its clients across markets in Europe, Asia, Sub-Saharan Africa, North and South American. Their practice areas encompasses the full range of corporate and legal services, including and finance, dispute resolution, telecommunication, intellectual property, energy and natural resources, taxation and privatisation.

Job Description
The company secretary is responsible for ensuring that the company complies with financial standards and legal practice and maintains standards of corporate governance. He /She will act as a point of communication between the board of directors and company employees and stakeholders, reporting in a timely and accurate manner on company procedures and developments.

Responsibilities
  • Convening and servicing annual general meetings (AGM)/meetings (producing agendas, taking minutes; conveying decisions etc.)
  • Providing support to committees and working parties such as the Board of Directors etc
  • Support the Company Secretarial team in providing a full range of professional, timely and quality company secretarial services to clients including Hong Kong incorporated and overseas companies
  • Assist in maintaining of the statutory register
  • liaising with both internal and external lawyers
  • Providing legal/financial advice during and outside of meetings
  • Implementing procedural/administrative systems
  • Handling correspondence before and after meetings
  • Collating information and report preparation.
  • Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.

Qualifications and Experience
  • University Degree or HND in Business Administration or any Social Sciences
  • Minimum of 6 years’ experience with at least 3 years’ experience in a similar role
  • Membership of the Institute of Chartered Secretaries & Administrators of Nigeria(ICSAN)
  • Proficient with the use of the MS Office Suite
  • Oral & Written Communication
