Position Description
Transaction Management Unit (“TMU”) is responsible for providing market risk (associated with structured debt products), operational risk (associated with booking and management of debt products) and credit monitoring support to business units within Corporate & Investment Banking Group (“CIB”) with regards to the management of the Group’s Risk Asset Portfolio.
The job holder will assist in providing support for the (a) execution and closing of transactions undertaken within CIB, (b) Portfolio Management of all Assigned transactions, (c) work in co-ordination with other relevant departments to minimize risk associated with the Bank’s risk assets, and (e) maintain good relationship with internal and external clients as well as service providers (Marketers, Legal, Risk and Finance).
Key Responsibilities include:
Pre-handover / Transaction Closure
- Input and review of the structure from a technical, monitoring and management perspective, pre the credit process to ensure that the deal can be executed and monitored within the capabilities of the bank and transaction management team.
- Ensuring alignment of the client debt solution to the term sheet, credit paper and legal and security agreements
- Managing/coordinating the CP fulfilment and sign-off process
- Origination of loan accounts and structures on Finnacle
- Monitoring collection of transaction fees
- Assisting in the review of loan documentation to evaluate transaction controls;
- Assisting in developing scopes of work / terms of reference for relevant consultants required for monitoring transactions post financial close;
- Assisting with the due diligence process in terms of Conditions Precedent to drawdowns and subsequent drawdowns;
- Attendance during negotiations with banks and other project parties;
- Initiating a monitoring and control process on new products/structures where such are to be monitored by TMU and obtaining requisite approval of such process..
Handover / Post Execution
- Ensuring that all relevant deals are being monitored.
- Obtaining relevant information on, and understanding of credit conditions to be monitored (conditions precedent, waived conditions and ongoing conditions)
- Meeting with the Origination and Execution team to ensure clear understanding of deal (structures, models, security, etc) at handover stage
- Ensuring that a full set of documents is received and lodgment of same with the Collateral Management Unit
- Capturing the relevant information into the TMU database including tracking of important dates and events relating to each deal under management.
- Management of:
- Collateral and Security
- Valuation of collateral, monitoring of cover ratios and making of margin calls when necessary
- Interest rate resets
- Insurance requirements in conjunction with Collateral Management Unit
- Waivers and amendments
- Input into the renewal of facility structures
- Business unit support
- Maintaining contact with client representative to ensure that the required risk information is received in a timely manner
- Monitoring and reporting on credit risk on a transaction, client and portfolio level by ensuring:
- client / transaction information is obtained and used to determine compliance to credit conditions / covenants and non-compliance is reported in a timely manner management of subsequent draw downs and repayments of the facility
- Periodic and ad-hoc visit are carried out to review, where relevant, clients’ operations and/or the bank’s security and providing a comprehensive status report, which must include identification of potential structural weakness in the bank’s security.
- Keeping track of all breaches noted on transactions. Escalating breaches to the appropriate sanctioning authority and placing on record with the Business Support and Recoveries and Execution teams
- Preparing and presenting reports/MIS in a timely manner as may be defined by the Head of TMU ROA
- Liaising with the Execution and Business Support and Recoveries teams where transactions are to be re-structured either for distress or commercial reasons and ensuring that TMU database is kept current
On-lending Schemes/Funding
- Managing payment of loan obligations to Development Finance Institutions (FMO, IFC, DEG, EIB, AfdB);
- Calculation of DFI ratios and rendition of returns;
- Payment of obligations in respect of CACS, NIRSAL and Bank of Industry (BOI) and rendition of returns associated with the schemes where necessary.
In addition to the above, the job holder will also assist in day-to-day tasks as delegated by the Head of TMU.
Key performance measures
- No operational losses on deals within the portfolio that could result, should the deal not be properly controlled and monitored.
- Ensuring correct capital relief under B2 is recognised.
- Effective management and risk mitigation of deal breaches.
- Maintenance of internal conditions and covenants.
- Management, training and development of junior transaction managers.
Required Skills and Qualifications
Qualification:
- First Degree or Equivalent (preferably in law, Accountancy or Finance or related/Numerate disciplines)
- Holders of a law degree should be comfortable with figures
- CA / CIMA / MBA advantageous.
- The job holder will be expected to understand the general dynamics of the local and international financial markets;
- English language proficiency is a must for undertaking this role;
Experience:
The job holder should have a minimum of three to five years in a banking environment, preferably with a loans/risk management background;
Knowledge Competencies:
The technical skills required for the role will include:
- Detailed understanding of accounting – management and financial accounting – to analyse financial strengths and weaknesses of clients and identify potential risks
- Good understanding of the legal environment as it affects commercial transactions in the CIB space
- Understanding of bank’s products and facilities that give rise to counter party credit risk
- Understanding of property finance, Project Finance, Structured Trade & Commodity Finance and Leveraged & Acquisition Finance transactions.
- Knowledge of financial markets
- Conceptual and practical knowledge of credit procedures, policies, and standards
- Knowledge of risk systems and derivative instruments advantageous
- Computer literacy, particularly with Microsoft Word, Excel and Power Point;
