We are recruiting to fill the position below:

Job Title: Commercial Lawyer

Location: Lagos

Job Summary

• We seek to appoint an experienced ‘Corporate/Commercial Lawyer’ who will ensure proactive legal compliance management of the company. This position is based in Lagos.

Responsibilities

• To provide expert legal support and advice to management on commercial transactions during negotiation, international business transactions and general commercial activities
• Advice Management and Managers and assist in drafting, reviewing and negotiating agreements, contracts and all third party relationship documentation
• Drafting, reviewing and negotiating banking transaction agreements, proposals and legally binding documents
• Advice Management and Managers on contractual obligation and rights as well as lawful claims arising from contract and all commercial transactions, which may include claims, compensations, damages, etc
• Identify, examine, collaborate and consult with appointed Attorney in matters of litigation involving the company and its associates.
• Carrying out Company secretarial duties liaising with the Company Secretary
• Advising on financing of commercial projects and transactions from legal point of view
• Advising on acquisition and disposal of assets
• Coordinate meeting with local and international clients, partners (joint venture and contractors), affiliates, etc on commercial transactions
• Advising management on legal/regulatory and policy developments in the country and global landscape, such that affects the company’s business interests for the purpose of implementation and compliance.
• Advising on legal and regulatory issues in projects, contracts and transactions
• Researching law and drafting opinions
• Conducting Due Diligence investigations as may be deemed necessary
• Monitor and implement compliance of the company with all relevant laws affecting its areas of operations
• Take custody of all operating licenses and monitor its renewal and validity in line with government and clients requirements
• Ensure the company complies with all statutory requirements as at when required
• Ensure the company does not default in all fees, levies, royalties, dues, subscriptions and licenses
• Attend to smaller matters and aspects of larger matters independently

Qualifications and Experience

• A Degree in Law, LL.B, B.L
• Master's in Law (LL.M) is an added advantage
• 2 years minimum experience working as a lawyer in a commercial law firm or as an in-house lawyer in a company advising on commercial issues
• Experience in Project and General Finance law will be an advantage
• Knowledgeable in international and commercial transactions, as well as international trade
• Excellent grasp of commercial law and corporate matters in general
• Excellent communication and drafting skills
• Ability to work with very minimal or no supervision
• Able to meet set targets under pressure
• Very good leadership skills
• Business minded
• Good IT skills in Microsoft outlook, MS Word, Excel and Power Point
