Job Description
The company secretary is responsible for ensuring that the company complies with financial standards and legal practice and maintains standards of corporate governance. He /She will act as a point of communication between the board of directors and company employees and stakeholders, reporting in a timely and accurate manner on company procedures and developments.
Responsibilities
- Convening and servicing annual general meetings (AGM)/meetings (producing agendas, taking minutes; conveying decisions etc.)
- Providing support to committees and working parties such as the Board of Directors etc
- Support the Company Secretarial team in providing a full range of professional, timely and quality company secretarial services to clients including Hong Kong incorporated and overseas companies
- Assist in maintaining of the statutory register
- liaising with both internal and external lawyers
- Providing legal/financial advice during and outside of meetings
- Implementing procedural/administrative systems
- Handling correspondence before and after meetings
- Collating information and report preparation.
- Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
Qualifications and Experience
- University Degree or HND in Business Administration or any Social Sciences
- Minimum of 6 years’ experience with at least 3 years’ experience in a similar role
- Membership of the Institute of Chartered Secretaries & Administrators of Nigeria(ICSAN)
- Proficient with the use of the MS Office Suite
- Oral & Written Communication
