We are recruiting to fill the position below:

Job Title: Head of Corporate Finance & Advisory

Location: Lagos, Nigeria

Job Brief

  • Responsible for originating and managing businesses while providing solutions and maintaining effective relationship management of clients in order to meet their needs, as well as the Group’s financial targets.

Origination Functions & Requirements:

  • Build the Investment Banking business and identify specialists to support across the different specialist areas (M&A Advisory, DCM & ECM)
  • Identify and deliver potential Advisory/Issuing House clients/transactions/mandates across Equity Capital Markets and Debt Capital Markets (M&As, equity capital raise, bond issues, CP issues etc)
  • Identify sector reforms, which are likely to create opportunities for new transactions.
  • Effective relationship management, strong business networks and market knowledge.
  • Drive the Public Sector Advisory strategy
  • Ensure the execution of transactions and timely collection of fees.
  • Proactively identify opportunities for more comprehensive marketing and cross-selling opportunities that would be beneficial to the Group through extensive collaboration.
  • Conduct necessary industry/company research and analysis on key subjects for inclusion in advisory proposals
  • Prepare proposals / pitch documents for prospective transactions based on strategies agreed with Management

Transaction Execution Functions:

  • Meet with prospective Clients and design transaction structures based on Client’s need and financial/legal position, legal/regulatory requirements as well as market conditions;
  • Lead the team in advising Clients on transaction process, regulatory requirements, documentation, appointment of parties, etc.
  • Preparing Valuation Memoranda and advising Clients on pricing of instruments to be issued, or appropriate valuation for M&A transactions
  • Prepare appropriate transaction documents such as prospectuses, investment teasers, information memoranda, Scheme documents, status reports and correspondences
  • Supervise or work with appointed professional parties (if any) on relevant transactions
  • Prepare presentations to be shared at Investors’ fora
  • Handle and/or manage due diligence for Client and house M&A transactions
  • Analyse target companies; perform financial analysis and in-depth reviews, merger impact analysis, financial and valuation models,
  • File transactions documents with the Securities and Exchange Commission (SEC), attending to SEC queries/deficiency letters, and obtaining necessary transaction approvals
  • Ensure the maintenance of project files for each transaction.

Qualifications

  • A minimum first degree
  • Minimum of 12 years working experience in relevant function
  • A postgraduate degree or professional qualification will be added advantage.
