Job Summary

• In order to continue to provide outstanding quality service to its clients, our client is seeking to recruit exceptional Lawyers with corporate commercial and corporate finance.
• You will provide legal representation to corporations, advise clients on a broad range of corporate issues and represent them in litigation, transactions, and regulatory compliance.
• You will work in a variety of environments, ranging from small, entrepreneurial corporations to large corporations.
• In addition, you will advise and resolve complex legal and business issues.

Duties and Responsibilities

• Negotiate and draft contracts, leases, and other documents
• Promote and enforce company policies
• Prepare, review, and monitor basic corporate contracts and agreements
• Manage litigation and other legal claims
• Advise management on relevant legal matters
• Develop and oversee litigation and dispute resolution strategies
• Manage outside counsel
• Represent the company in court or before administrative agencies
• Develop and submit reports to senior management
• Manage corporate legal matters, including forming, maintaining, and dissolving entities and legal contracts, and resolving disputes
• Perform initial screenings of documents to determine legal effect and significance
• Evaluate and manage risk presented by new contracts
• Perform or oversee negotiations and drafting of contracts
• Attend meetings and depositions, such as arbitrations and trials
• Prepare and review contracts, budgets, and reports
• Manage legal staffing to achieve business goals
• Advise management team on legal needs and prepare legal briefs
• Represent the firm at law conferences and legal seminars
• Develop new legal products
• Serve as legal advisor to business units
• Develop new legal approaches
• Maintain awareness of new legal developments and changes in regulations.

Requirements and Skills

• LLB (LLM will be an advantage)
• 2+ years experience in corporate law
• Experience with commercial lease transactions and lease renewal negotiations
• Experience in commercial loan transactions and loan workouts
• Knowledge of general business law and procedures
• Knowledge of state and municipal.
