Job Overview

  • We are seeking a senior experienced attorney with expertise in Projects and commercial negotiations, Corporate Governance Compliance and regulatory compliance to join our Com- pany,
  • The Attomey is to lead the Legal department of the Company.

Responsibilities

  • The ideal candidate is responsible for providing legal counsel and advisory services to businesses, s units, subsidiaries, and joint ventures.
  • The Legal Department is responsible for, among other matters, negotiating and documenting the Company's project development and project finance transactions.

The Counsel would be expected to:

  • Lead the legal activities with respect to the development and implementation of joint venture transactions, contracts including the structuring, negotiation, and documentation of such transactions;
  • Advise Management a with respect to Company's legal rights and obligations, project contracts and agreements, and common statutory or similar requirements in connection with project development transactions;
  • Assist management and business to identify legal business risks, develops governance models and policies ensures and drives compliance with regulatory issues while harmonizing governance structures and businesses ethic across company businesses and examining the law and facts pertinent to legal problems; and
  • Liaise and work with outside counsel to negotiate and document transactions on a cost-ef- fective basis. Provide all legal supports and interface with relevant regulators, ensure corpo- rate statutory and legal fillings, records and legal audits
  • The attorney in this position will report to the CEO.

Minimum requirements

  • The successful candidate will hold a Law Degree or equivalent from a recognized and approved University together with admission to practice Law in Nigeria as a Barrister and Solicitor of the Supreme Court of Nigeria.

In addition, the candidate will have:

  • A minimum of 15 years post-call and hands-on relevant experience with handling profile commercial transactions, meeting legal targets, handling corporate legal transactions, project development experience and in-house experience in a corporation handling international project development. An LLM/ Chartered Secretary is an added advantage
  • Demonstrable experience working directly with clients from transaction inception to completion
  • Hands-on experience with structuring, drafting, negotiating and leading large project development transactions in a 1st or 2nd chair capacity:
  • Experience with international transactions and finance principles;
  • A self-starting, flexible, pragmatic, and commercially-oriented approach to practicing law.
