Job Description

  • The Corporate Governance Manager will be responsible for ensuring that the organization operates in compliance with legal and regulatory requirements and adheres to best practices in corporate governance.

Responsibilities

  • Develop and maintain the organization's corporate governance policies and procedures, ensuring compliance with legal and regulatory requirements.
  • Monitor and report on changes in legal and regulatory requirements and assess their impact on the organization's corporate governance practices.
  • Provide guidance and support to the organization's board of directors and senior management on corporate governance matters.
  • Coordinate and facilitate board and committee meetings, including preparing agendas, minutes, and meeting materials.
  • Manage the organization's shareholder relations and investor engagement activities, including responding to inquiries and communicating with shareholders and other stakeholders.
  • Oversee the organization's corporate social responsibility (CSR) initiatives and sustainability reporting.
  • Develop and implement training and awareness programs on corporate governance for employees and board members.
  • Collaborate with other departments, such as legal, finance, and human resources, to ensure that corporate governance practices are integrated into the organization's overall operations.
  • Ensure compliance with internal policies and procedures related to corporate governance.
  • Perform other duties and responsibilities as assigned.

Educational Qualifications, Experience, and Attributed Skills

  • Bachelor's Degree preferably in Business Administration, Law, Finance, or a related field. Possession of CGEIT, GRC, or its equivalent will be a plus.
  • 7 - 10 years of experience in corporate governance, ideally from a complex environment.
  • Comprehensive knowledge of corporate governance practices and principles.
  • Experience in working with boards of directors and senior management.
  • Excellent communication, presentation, and facilitation skills, with the ability to communicate complex information clearly and concisely.
  • Strong project management and organizational skills, with the ability to manage multiple priorities and deadlines.
  • Demonstrated ability to work collaboratively with other departments and stakeholders.
  • Proficient use of Microsoft Office Suite.
  • Knowledge of regulatory requirements related to corporate governance, such as SEC regulations.
  • Ability to work independently and as part of a team, with a strong sense of accountability and ownership.
