Kelina Hospital is a surgical hospital, with a focus on Minimally Invasive Surgery. Kelina was the first private hospital in Nigeria to do Laser Lithotripsy for Kidney Stones (PCNL, RIRS, 2011), Laparoscopic Radical Prostatectomy, LRP (2012), and Holmium Laser Enucleation of the Prostate (HoLEP, 2018). Kelina does Laparoscopic Surgery in General Surgery, Urology, Gynaecology amongst others. HoLEP, LRP, PCNL, RIRS are the most common surgeries we do each week.

We are recruiting to fill the position below:

Job Title: Head of Corporate Governance and Company Secretary

Locations: Abuja (FCT) and Lagos
Employment Type: Full-time

Job Description

  • Serve as the Statutory Company Secretary in line with regulatory requirements.
  • Ensure compliance with all statutory and regulatory obligations, including filings with the Corporate Affairs Commission.
  • Organise and coordinate Board and Management meetings, including preparation of agenda, board materials, and accurate minutes.
  • Work with Management Staff to implement Board and Management decisions
  • Provide legal and governance advisory support to the Board and Management.
  • Maintain statutory registers and corporate records.
  • Monitor changes in relevant legislation and advise management accordingly.
  • Facilitate effective communication between the Board, Management, shareholders, and regulatory authorities.
  • Support corporate restructuring, policy development, and governance framework implementation.
  • Manage corporate documentation, contracts, and resolutions.
  • Review, edit, and ensure accuracy and consistency in all internal and external corporate correspondence, including memos, circulars, and reports.
  • Provide periodic compliance and governance reports to Management and the Board.

Qualifications
To be eligible, candidate must:

  • Be a qualified Lawyer (LL.B and B.L) and duly called to the Nigerian Bar.
  • Have a minimum of three (3) years post-NYSC experience in a similar role as a Company Secretary or in corporate governance/legal advisory within a reputable organisation.
  • Possess sound knowledge of the Corporate Affairs Commission (CAC) regulatory framework and compliance requirements.
  • Have a strong understanding of corporate governance principles and relevant provisions of the Companies and Allied Matters Act (CAMA).
  • Demonstrate excellent drafting, documentation, and minute-taking skills.
  • Possess strong verbal and written communication skills.
  • Be highly organised, detail-oriented, and capable of managing confidential information with discretion.
  • Be proficient in Microsoft Office Suite and other relevant documentation and governance tools.

Remuneration
Negotiable, but not less than N6m per annum.
