Benek Engineering Company Limited (BECL) is an indigenous onshore and offshore engineering contracting company headquartered in Port Harcourt, Rivers State, with an overseas office in Houston, Texas. Incorporated in 1984, BECL provides highly skilled project management, maintenance, and construction services to the Oil and Gas industry. Our services include pipeline construction, wellhead supply/installation/maintenance, plant installation, inspection services, non-destructive testing (NDT), heavy duty equipment maintenance, shutdown and turnaround management, slickline and e-line services, and pressure control. BECL serves major IOCs including Shell, AGIP, Chevron, NNPC, Total, ExxonMobil/SEPLAT, and Addax. We are a corporate member of the Nigerian Society of Engineers (NSE), Nigerian Corrosion Association (NICA), Nigerian Institute of Welding (NIW), Oil & Gas Trainers Association of Nigeria (OGTAN), and the American Welding Society (AWS). BECL is also an authorised distributor of XCMG cranes and forklifts.

We are recruiting to fill the position below:

Job Title: Company Secretary

Reference: BECL/2026/CS-011
Location: Port Harcourt, Rivers State (with deployment to field locations including Bonny, Brass, Forcados, and onshore flow stations across the Niger Delta)
Employment Type: Full-time

Role Summary

  • Provide corporate governance, legal compliance, and company secretarial services.
  • Ensure BECL complies with all statutory and regulatory requirements under Nigerian law, including CAC filings, board administration, and corporate records management.
  • Ensure document and inventory control at all times

Key Responsibilities

  • Ensure compliance with the Companies and Allied Matters Act (CAMA) and other applicable Nigerian laws.
  • Prepare and file all statutory returns with the Corporate Affairs Commission (CAC).
  • Organize and attend Board of Directors meetings, including preparing agendas, minutes, and resolutions.
  • Maintain the company’s statutory registers (members, directors, charges, etc.).
  • Advise management on corporate governance best practices and regulatory changes.
  • Manage the company seal, incorporation documents, and share certificates.
  • Liaise with external solicitors, regulatory bodies, and government agencies.
  • Support contract review and provide legal input on commercial agreements.

Minimum Requirements

  • LL.B and BL (called to the Nigerian Bar).
  • Minimum of seven (7) years post-call experience, with at least three (3) years in company secretarial or corporate governance roles.
  • Strong knowledge of CAMA 2020, SEC Rules, and the Nigerian corporate regulatory framework.
  • Experience preparing and filing CAC annual returns and other statutory documents.
  • Excellent drafting, communication, and organizational skills.
  • Completion of NYSC (mandatory).

Added Advantage:

  • Membership of the Institute of Chartered Secretaries and Administrators of Nigeria (ICSAN).
  • Experience in oil and gas industry corporate governance.
  • Familiarity with DPR, NUPRC, and NMDPRA regulatory requirements.
  • B.Sc. in Company Administration.

Remuneration
Competitive and commensurate with experience.
