Description

  • The Company is seeking accomplished professional to join its Board of Directors as an Independent Non-Executive Director (INED).

Roles & Responsibilities

  • Offer independent judgement and provide feedback on the proposals and actions of Management and Executive Directors.
  • Provide oversight and independent perspectives on the implementation of the Financial Holding Company 's strategy, vision, and policies.
  • Advise the Board on corporate governance best practices, regulatory compliance, and ethical business standards.
  • Provide independent oversight and objective guidance on strategic and operational matters.
  • Review and evaluate the firm's operational and financial performance to ensure alignment with organisational goals and objectives.
  • Chair the following Board Committees: Board Audit Committee, Board Nomination & Governance Committee, Board Remuneration Committee.
  • Support the Board in identifying, assessing, and monitoring key business risks and the effectiveness of internal control systems.
  • Contribute to the development and review of strategic plans, policies, and business initiatives.
  • Offer professional insights and recommendations to improve operational efficiency, financial sustainability, and overall organisational performance.

Requirements

  • Bachelor's Degree in any discipline or equivalent professional qualification.
  • A minimum of fifteen (15) years' experience in Senior Executive Management positions within the financial services industry in Africa and/or internationally.
  • Membership of Chartered Institute of Directors or any other relevant and recognized professional institute
  • Demonstrable board-level experience in a similar or comparable role.
  • Strong knowledge of the legal and regulatory environment governing financial services; digital banking and information technology expertise will be highly regarded.
  • High-level understanding of finance, financial reporting, and risk management.
  • Must meet the CBN criteria for INEDs.
