Job Title: Junior Consultant, Legal, Policy, Regulatory Governance & Compliance

Location: Remote; occasional out-of-station travel to other states as required.
Employment Type: Full-time

Role Overview:

  • PIF Africa’s Legal, Policy, Regulatory Governance & Compliance function provides cross-cutting legal, policy, regulatory, governance, statutory compliance, and risk control support across the firm and for PIF Africa’s clientele.
  • The function ensures that legal instruments, governance structures, regulatory mappings, policies, controls, filings, board/committee documentation, and compliance evidence are practical, robust, audit-ready, and aligned with each client’s operational, financing, investment, strategy, and growth objectives.
  • As a Junior Consultant, you serve as an integrated legal, policy, regulatory, governance, and compliance consultant.
  • You support and manage mandates from end to end: drafting and reviewing operational, commercial, financing, investment, and partnership agreements; developing business-facing policies and terms; mapping applicable laws, regulators, tax and corporate obligations, sector-specific rules, guidelines and circulars; advising on incorporation and entity structures; building governance instruments; maintaining compliance calendars and risk registers; supporting KYC/due diligence and audit-readiness; and coordinating with internal teams, clients, regulators, external counsel, Finance, HRM, Product, Operations, Investment, and Strategy teams.
  • All roles and responsibilities documented below and supplemented from time to time are delivered both internally (to all departments as internal clients) and externally (to PIF Africa’s clients), depending on the mandate.

What You'll Do
Legal Agreements, Commercial Documentation & Contract Governance:

  • Draft, review, negotiate, and manage legal agreements for operations, client delivery, procurement, partnerships, investments, financing, funding, grants, and strategic initiatives, including service agreements, NDAs, MOUs, JV agreements, shareholder arrangements, vendor contracts, terms of business etc.
  • Translate commercial, operational, product, financial, strategic requirements into clear legal documents covering obligations, approvals, rights, deliverables, risk allocation, liability, confidentiality, data protection, IP, disputes, termination, and others as applicable.
  • Identify legal, commercial, tax, governance, regulatory, reputational, and operational risks in agreements; recommend mitigants; maintain contract registers, templates, execution records, renewal calendars, obligation trackers, approval trails, and repositories.
  • Coordinate contract handovers with other teams, and external counsel to ensure agreements are properly implemented, monitored, renewed, or closed.

Policy, Regulatory Intelligence & Legal Framework Mapping:

  • Conduct legal, policy, tax, corporate, AML/CFT, anti-bribery, data protection, IP, employment, consumer, and sector-specific regulatory etc. scans for the entity & clients.
  • Map and track applicable laws, trends, entities, licences, permits, filings, guidelines, circulars, standards, compliance obligations etc. to translate them into briefs, risk flags, recommendations, checklists, obligation registers, filing calendars etc.
  • Develop and review product/service, customer/vendor, operational, and internal compliance policies, including terms and conditions, privacy notices, refund, warranty etc.

Governance, Incorporation, Entity Structuring & Corporate Secretariat:

  • Advise on entity type, ownership/shareholding structure, single or multiple entity needs, liability separation, governance lines, and operating arrangements for businesses, individuals, non-profits, projects, funds, ventures, and partnerships.
  • Support incorporation, registration, post-incorporation maintenance, CAC/registry filings, statutory records, director/shareholder/officer changes, approvals, and corporate secretarial processes.
  • Design and maintain governance frameworks and instruments, including board/advisory/committee structures, charters, shareholder agreements, terms of reference, board calendars, delegation and approval matrices, reserved matters, policies, SOPs, minutes, resolutions, and decision records.
  • Work with HRM on organizational structures, KPIs, succession, authority levels, director/officer duties and other related matters.

Compliance Architecture, Statutory Obligations & Monitoring:

  • Build and maintain compliance frameworks, statutory calendars, approval flows, monitoring schedules, trackers, checklists, SOPs, evidence logs, reporting routines, escalation protocols, and documentation standards.
  • Track and coordinate annual returns, corporate filings, licences, renewals, permits, CIT, withholding tax, payroll/employment filings, permanent establishment issues, and other statutory or regulatory obligations with other teams, clients and other service providers.
  • Support KYC, onboarding, AML/CFT screening, sanctions checks, beneficial ownership documentation, anti-bribery controls, conflicts checks, and compliance due diligence for clients, vendors, partners, investees, and counterparties.

Risk Management, Due Diligence, Internal Controls & Audit Readiness:

  • Conduct or support legal, governance, compliance, and regulatory due diligence for clients, investees, partners, vendors, projects, financing structures, acquisitions, and strategic initiatives.
  • Prepare due diligence checklists, document requests, red-flag reports, gap assessments, issue logs, recommendations, closing deliverables, and post-closing remediation trackers.

Integrated Business Partnering Across Team:

  • Embed legal, regulatory, governance, and compliance considerations into how internal and client mandates are designed, operated, documented, scaled etc.
  • Provide practical guidance, templates, training notes, briefings, and implementation instructions so teams understand what must be done, why it matters, who owns it, and when it is due.

Regulatory Liaison, External Stakeholder Management & Advocacy Support:

  • Prepare, coordinate, and track submissions, filings, renewals, clarifications, inspections, evidence packs, correspondence, and meeting follow-ups with statutory bodies.
  • Liaise with CAC, tax authorities, data protection regulators/DPO networks, IP authorities, standards bodies, sector regulators, certification partners, external counsel, boards, advisers, vendors, and other stakeholders under approved protocols.
  • Prepare briefing notes, talking points, issue papers, regulator engagement notes, policy inputs, roundtable materials, post-engagement summaries, advocacy notes, sector briefings, and thought-leadership support.

Who You Are

  • A lawyer with a strong academic background in law and the ability to practice law in Nigeria; ICSAN qualification and/or membership is preferred or willingness to undertake same.
  • 1–3 years’ experience across corporate/commercial law, governance, regulatory compliance, company secretarial practice, policy research, legal operations, consulting, advisory, investment, or structured professional services environments.
  • Practical experience drafting, reviewing, negotiating, and managing commercial, operational, financing, funding, investment, participation, service, MOU, NDA, JV, shareholder, vendor, procurement, and policy documentation is a plus.
  • Demonstrable experience with CAC-related processes, company incorporation, post incorporation filings, annual returns, statutory registers, board documentation, corporate secretariat support, and governance records.
  • Strong understanding of legal and regulatory frameworks affecting businesses and individuals, including corporate, tax, AML/CFT, anti-bribery and corruption, data protection, intellectual property, employment, consumer/customer terms, and sector-specific regulatory obligations.
  • Able to interpret laws, regulations, rules, guidelines, circulars, regulator positions etc. and translate them into clear implications, risks, recommendations, controls, and action plans.
  • Highly organized with strong documentation governance discipline: folder structures, naming conventions, registers, trackers, version control, and audit-ready records.
  • Strong research, analytical, drafting, negotiation, problem-solving, commercial awareness written and spoken communication skills in English.
  • Proficient in Microsoft Word, Excel, and PowerPoint; comfortable with Google Workspace, task boards and trackers; willing to use approved AI tools responsibly to support research, drafting, minutes, action tracking, and knowledge management.
  • Discreet, ethical, structured, service-oriented, proactive, intellectually curious, and able to handle multiple mandates with confidentiality, sound judgment, and high attention to detail.
  • Mobile and willing to support occasional out-of-station travel, regulator/client engagements, evening/weekend deadlines, and time-sensitive filings where required.

Salary
N150,000 - N200,000 monthly.
