Job Description:
Our Legal Officer is charged with the responsibility of minimizing exposure to potential litigation by reviewing and vetting transaction documents and advising on the legal implications of decisions and actions
Key Tasks And Responsibilities
Formulates and implements legal strategies to ensure compliance with all legal and corporate governance requirements.
Coordinates the drafting, vetting, and review of all legal documents and agreements relating to organisation’s operations (e.g. supplier contracts, service level agreements).
Prepares legal guidelines for expansion to militate against possible litigation, arbitration, staff and/or community unrest and other situations capable of disrupting operations.
Negotiates and advises management in all contractual arrangements
Provides legal advice on all business transactions to avoid or minimize exposure to potential litigation
Monitors changes in relevant legislation and the regulatory environment, and advice management on current legislation, regulatory issues, or legal risks that might impact organisation’s strategies and operations.
Liaises with Government agencies to ensure that the company obtains relevant licenses, permits and approvals for business operations.
Oversees legal aspects of insurance contracts for employees and company property (equipment and premises)
Liaises with external regulators and advisers, such as lawyers and auditors
Acts to ensure that the company standards are properly complied before signing new deals.
Provides legal advice and secretarial services to the Company, Board and Committees on compliance with applicable rules and regulations
Organises and prepares agenda for Board meetings and committee meetings ensuring that notices of such meetings and all board packs are dispatched to Directors in sufficient time to ensure their meaningful contribution
Maintains and updates all statutory records, i.e. registers of shareholders/directors, information memoranda, minutes of relevant meetings, share ownership structure and changes in any of these, in accordance with the Companies and Allied Matters Act, 2004.
Deals with correspondence and communicates company procedures and developments to relevant stakeholders in a timely and accurate manner
Monitors and advises the Board of Directors on corporate governance trends and changes in relevant legislation
Liaises with Government agencies to ensure that the company obtains relevant licenses, permits and approvals for business operations
Liaises with organisation’s attorneys to defend the company in all litigation cases and ensure minimal subsisting injunctions

Qualifications:
First degree in Law (LL.B)
Masters in Law (LL.M)
Membership of Institute of Chartered Secretaries and Administrators of Nigeria (ICSAN)
Minimum of 7 years cognate experience as a Legal practitioner in Corporate Law with at least 5 years relevant experience as the Legal Adviser of a corporate organization.
