Senior Associate - Legal Transaction at Infrastructure Credit Guarantee (InfraCredit)

Infrastructure Credit Guarantee (InfraCredit) provides local currency guarantees to enhance the credit quality of debt instruments issued to finance creditworthy infrastructure assets in Nigeria that conform with its eligibility criteria.

This entity is necessary because long term capital required by infrastructure entities/projects to be commercially successful is not available from the domestic banking market. InfraCredit’s guarantees would act as a catalyst to attract investment interests from pension funds, insurance firms and other long-term investors, thereby deepening the Nigerian debt capital markets. Its successful operation will address the constraints facing the Nigerian pension market and motivate their involvement in investing in long term bonds to finance infrastructure assets.

Job Summary

• The Senior Associate Transaction Legal will be responsible for providing in-house legal services, liaise with the company’s retained external law firm and assist the company in attaining its commercial/strategic business objectives.
• Support legal, structuring, negotiating and review of transaction documents with clients and external counsel and counterparties.

Job Description

• Provide support in ensuring that the company operates within the law all times and limit the company’s exposure to legal risks
• Liaise with the external legal counsel in drafting of Investment Agreements & Transaction Agreements
• Drafting and negotiating mandate letters, NDAs, transaction agreements (Guarantee Deed, Recourse Agreement, Security Deed) and other documents associated with dealing with clients and counterparties
• Support the Origination & Structuring Team in due diligence on prospective clients and deals and review financing transaction documents with clients and external counsel
• Provide any other type of legal support (including but not limited to legal opinions, consultation, commenting and/or negotiation of documents of a legal nature) which may be required from time to time as expected on transaction.
• Monitor changes in relevant legislation and the regulatory environment and taking appropriate action while ensuring that all transactions within the division comply with InfraCredit’s applicable legal risk policies.
• All other tasks as delegated by the Senior Transaction Legal Counsel.

Requirements

• Minimum of Bachelor’s Degree in Law and B.L.
• 5 - 7 years of relevant legal experience.
• Familiarity with guidelines and regulations governing the debt securities, investment regulation and credit transactions
• Excellent analytical and structuring know-how skills, good understanding of guarantee products, capital markets and its financial instruments

• Good understanding of the legal environment as it affects commercial transactions in the capital market space.
