Job Summary

• Our client is a leading global infrastructure energy development organisation and they are seeking a highly skilled and experienced Project Finance Lawyer, based in Abuja.
• The role requires a high aptitude for project finance agreements (drafting, negotiating, and execution) as well as deep knowledge of the renewable energy space.

Key Responsibilities

• Initial structuring, development, and financing of a project in respect of loan agreements, project bonds, restructuring and refinancing of projects, opinion work, due diligence, project mergers, acquisitions, and disposals.
• Managing all project finance aspects of a transaction from inception through to financial close process and up to commercial operation and beyond of the various powerplants under the REIPPP Programme, RMIPPP Programme and similar programmes and private off-take PPAs.
• Provide high quality legal advice to the various project teams to ensure effective corporate governance, risk planning and compliance with statutory responsibilities, and to ensure that commercial obligations, financial and qualitative targets are properly addressed.
• Engage and manage external legal counsel
• Provide advice to the business in respect of the challenges in attracting and coordinating multiple sources of debt from varying types of financial institutions, which include blending terms such as tenor, identifying the distinct needs for each type of lender, and coming up with an efficient negotiation process to achieve financial close
• Liaise and lead in negotiations with project stakeholders and their legal advisers in respect of the project financing agreements
• Engaging with financial advisors
• Draft, review, liaise and lead in negotiations with third parties and their legal advisers on matters connected with the project financing aspects of various projects
• Such other duties that may be required from time to time within the general scope of the position
