Job Title: Compliance & Governance Associate
Location: Lagos

Role and Responsibilities
Organize and prepare documentation for board & committee meetings, annual general meetings (AGMs), and other corporate governance meetings, including agendas, minutes, and resolutions.
Advise the board of directors on corporate governance best practices and compliance issues to ensure good governance standards are upheld.
Ensure the company complies with applicable laws, regulations, and corporate governance frameworks relevant to their industry and business operations.
Manage and maintain governance records, including minutes of meetings, statutory registers, and compliance documentation, ensuring accuracy and regulatory adherence.
Liaise with regulatory authorities such as the Corporate Affairs Commission (CAC), Securities and Exchange Commission (SEC), and other government agencies on behalf of the company.
Assist in preparing and filing statutory documents related to governance, including board resolutions, annual returns, compliance reports to regulatory bodies etc. within prescribed deadlines.
Monitor legislative and regulatory changes and promptly communicate key updates and implications to clients and internal teams.
Conduct legal research and analysis on regulatory developments and governance standards to ensure clients and the firm remain up to date and compliant.
Support the development, review, and implementation of corporate governance policies, charters, and codes of conduct in line with legal requirements and best practices.
Participate in board evaluation and governance audit exercise, including developing tools, collating responses, and preparing reports.
Respond promptly to client queries as well as general enquiries.
Contribute to business development by preparing proposals, client presentations etc.
Ensure confidentiality, professionalism, and ethical standards are upheld in all client engagements and firm operations.
Qualifications and Education Requirements
Minimum of a Second Class Lower (2:2) Degree in Law (LL. B) from a recognized university and BL from the Nigerian Law School.
Membership of the Nigerian Bar Association (NBA); Membership of the Institute of Chartered Secretaries and Administrators is an added advantage.
4-6 years post-call experience in corporate governance, company secretarial practice, and regulatory compliance within a law firm or corporate environment.
Required Skills:
Regulatory Compliance: Strong knowledge of Nigerian laws and regulatory frameworks including CAMA, SEC, PENCOM, and FRCN.
Corporate Governance: Ability to apply governance codes and principles to enhance board effectiveness and organizational compliance.
Legal Drafting: Proficient in drafting board resolutions, governance charters, regulatory filings, and compliance policies.
Analytical Thinking: Strong problem-solving and critical thinking skills for interpreting laws and regulations.
Communication: Excellent written and verbal communication skills, including report writing and client correspondence.
Attention to Detail: High level of accuracy and thoroughness in handling legal and regulatory documents.
Time Management: Ability to manage multiple tasks and meet deadlines in a fast-paced environment.
Interpersonal Skills: Strong collaboration skills with clients, regulators, and internal teams.
Technology Proficiency: Skilled in Microsoft Office (Word, Excel, PowerPoint) and legal research tools.
