Job Summary
The Corporate Lawyer will provide expert legal services and advisory support to clients on a wide range of corporate and commercial matters.
Working within a dynamic law firm environment, the role involves handling legal documentation, transaction advisory, regulatory compliance, corporate restructuring, and general counsel services for corporate clients.
The ideal candidate demonstrates deep knowledge of Nigerian corporate law, strong client relationship management skills, and the ability to deliver high-quality legal work under tight deadlines.
Key Responsibilities
Advise clients on corporate structuring, business formation, regulatory compliance, mergers and acquisitions, and joint ventures.
Draft, review, and negotiate a wide range of commercial contracts, including shareholders’ agreements, service level agreements, franchise agreements, and investment documents.
Provide company secretarial support, including drafting board and shareholder resolutions, and ensuring compliance with CAC filings and corporate governance practices.
Conduct legal due diligence for transactions and provide legal opinions and risk assessments on business and investment proposals.
Liaise with regulatory agencies such as the CAC, SEC, NIPC, NOTAP, and FIRS on licensing, approvals, and compliance issues.
Represent clients in commercial negotiations and mediations, and support the litigation team with pre-litigation advisory as required.
Stay updated on legal and regulatory developments in Nigeria and across key jurisdictions affecting corporate clients.
Maintain high standards of documentation, legal research, and case management.
Support business development by preparing legal alerts, thought leadership, and client engagement materials.
Requirements
Educational & Professional Requirements
Bachelor of Laws (LL.B.) from a recognized university.
Barrister at Law (B.L.) from the Nigerian Law School.
LL.M. or additional certifications is an advantage.
Minimum of 5 – 7 years post-call experience in corporate/commercial law practice within a reputable law firm.
Membership of professional associations such as the Nigerian Bar Association (NBA) is required.
Required Competencies
Sound knowledge of Nigerian corporate and commercial law, including CAMA, investment law, tax law, and regulatory compliance.
Excellent legal drafting and contract negotiation skills.
Strong legal research and opinion-writing capabilities.
Proficiency in managing client matters, timelines, and legal documentation with attention to detail.
Ability to use legal tech tools and resources for document management and research.
Professionalism, integrity, and a strong ethical foundation.
Excellent communication and interpersonal skills, especially in client-facing situations.
Strong analytical and problem-solving ability with a commercial mindset.
High level of initiative, responsibility, and ability to work independently or in teams
Salary
N200,000 - N250,000 Monthly
