Job Summary
To provide strategic legal and transactional advisory services that support Clients business growth, project development, and corporate governance objectives.
This includes leading the company’s legal and compliance function, guiding project structuring, managing legal risks, and ensuring efficient Board and regulatory engagement.
Specific Roles and Responsibilities
Legal Advisory and Compliance:
Serve as an advisor to the Executive Leadership Team and Board of Directors on all matters relating to company law, commercial transactions, and corporate governance.
Provide accurate and timely advice on all legal and regulatory matters, and support departments on legal and compliance-related issues.
Ensure company-wide compliance with Nigerian laws, regulations, and industry-specific requirements.
Strategic and Transaction Advisory:
Lead strategic and transactional legal advisory on new projects, investments, joint ventures, partnerships, and corporate restructuring initiatives.
Conduct legal due diligence and risk assessments for business development, project financing, acquisitions, and divestitures.
Draft, review, and negotiate high-value commercial contracts, including Power Purchase Agreements (PPAs), Gas Sales and Purchase Agreements (GSPAs), Engineering
Procurement and Construction (EPC) contracts, and related documents:
Support the company’s corporate development activities by advising on mergers, acquisitions, asset transfers, and corporate structuring.
Provide legal input during project planning and implementation in collaboration with the strategy, finance, and technical teams.
External Counsel and Dispute Management:
Manage the interface with external legal counsel, ensuring efficient delegation and performance tracking of outsourced matters.
Represent the company in legal negotiations and dispute resolution proceedings, ensuring optimal outcomes and mitigation of legal risks.
Statutory and Regulatory:
Ensure timely registration and filing of statutory documents and contracts with relevant government authorities.
Education / Qualification
Bachelor’s Degree in Law
Postgraduate qualification in Law and/or a Business-related field (desirable)
Member of Nigerian Bar Association
Requirements:
Work Experience Minimum 10 years’ post-call experience, with at least 5 years in the in-house legal department of a power or infrastructure firm, or in private practice advising clients in the energy, power generation, and/or distribution sectors.
