Job Summary

• We are a leading real estate firm seeking a highly organized, detail-oriented, and strategic Company Secretary/Compliance Executive to join our leadership support team.
• The ideal candidate will be responsible for ensuring legal, regulatory, and statutory compliance as well as maintaining high standards of corporate governance.
• You will advise the board of directors, manage board meetings, maintain statutory records, and facilitate communication between the board, shareholders, and regulatory bodies.

Key Responsibilities

• Act as the primary advisor to the Board of Directors on their duties, powers, and corporate governance best practices.
• Provide strategic guidance to the board of directors, organize meetings, including drafting agendas, preparing high-level board packs, recording accurate minutes, and compiling resolutions.
• Ensure the company remains in strict compliance with all statutory requirements, including filings with the Corporate Affairs Commission (CAC) and other relevant regulatory bodies.
• Manage the company’s statutory registers and handle all official corporate correspondence and legal documentation.
• Facilitate effective communication between the board, management, shareholders, and external stakeholders.
• Develop, implement, and monitor internal compliance policies to mitigate legal and operational risks.
• Coordinate with legal, compliance, and risk teams to ensure a unified regulatory strategy.
• Provide strategic direction to the compliance team and ensure alignment with the overall business objectives.

Required Qualifications & Experience

• A minimum of 6 years of post-call experience in company secretarial or corporate legal roles, preferably in real estate.
• At least 3 years in a leadership or senior management capacity, demonstrating the ability to guide Board-level discussions.
• Deep understanding of the Companies and Allied Matters Act (CAMA) and Nigerian Code of Corporate Governance.
• Bachelor’s degree in Law, Business Administration, or a related field; a professional qualification (e.g., ICSAN) is highly desirable.
• Absolute discretion and the ability to handle highly confidential information.
• Exceptional written and verbal communication skills for engaging with stakeholders and high-level executives.
• Proven ability to manage complex statutory processes, maintain accurate records, and ensure timely compliance.
• The ability to anticipate regulatory changes and advise the business on proactive adjustments.
