Job Title: Contract Management and Administration Officer

Job Description
Contract Management and Administration:
Develop, negotiate and evaluate contracts on behalf of the Company.
Advise and enforce the company's rights and ensure the company meets its obligations in each project by communicating expectations to relevant departments.
Monitor key contract dates to ensure all contract terms are applied timely and correctly.
Manage legal, project, and contracting risks of the company and ensure that any contractual or legal matter affecting the Project execution is properly addressed.
Liaise with other departments and third-party representatives regularly to address issues that may arise from each contract renewal, contract award, contract resolution, and contract follow-up action items.
Provide contract status reports to management for review.
Carry out evaluations and provide close-out reports for each project and identify gaps and areas of improvement.
Assist the other team in preparing requests and responses for contractual interpretations and providing responses to requests for contract clarification, deviations, or changes.
Compliance:
Ensure that business operations are in line with all applicable laws, regulations, best practices, internal policies, and procedures.
Prepare compliance documentation for statutory, legal, and regulatory purposes.
Ensure all regulatory licenses, certificates, and permits are up to date.
Be abreast of regulatory developments and industry initiatives and advise management accordingly.
Develop and ensure that the company meets its compliance obligations under relevant laws and the requirements of regulatory authorities.
Develop compliance checklists and prepare compliance reports, as and when due.
Legal:
Negotiate, draft, and review all documents that have legal implications for the company prior to execution and implementation with third parties.
Advise the management and other departments on legal issues and matters relating to or resulting from the company’s operations.
Litigation and case management activities.
Provision of legal, regulatory, and compliance support to related entities.
Maintain legal and statutory records of the company.
Liaise with professional advisers and consultants such as auditors, external lawyers, tax advisers, bankers, and shareholders.
Corporate Secretariat:
Statutory compliance
Reviewing Annual Report and accounts and reviewing or completing Companies House filings:
Confirmation Statement filings/directors appointments and resignations/maintaining statutory registers.
Board Support for the Companies
Drafting board meeting agendas
Overseeing more junior members of the team in preparing and publishing the board packs and managing preparations for board meetings
Minute taking at the Management and Board meetings
Writing up post-Board meeting follow-up actions
Advising the boards on corporate governance matters
Updating Terms of reference, carrying out Board effectiveness reviews
Liaising with the compliance team and/ or the FCA directly, where needed
Transaction work
Keeping procedures and precedents up to date and in line with current regulatory
Assisting with ad hoc group restructures, strike-offs, and projects if the team requires additional assistance
Team tasks
Keeping procedures and precedents up to date and in line with current regulatory requirements
Train and support junior members of the team
Requirements
Bachelor’s Degree in Law.
A minimum of 7 years of working experience with at least 3 years of litigation experience and relevant experience preferably within the Oil and Gas/maritime industry.
Being conversant with NCDMB, CAC, NPA, NIMASA, NMDPRA, NNPC and other regulators is an added advantage.
Ability to work without supervision.
Drafted a BIMCO contract agreement from the start to the finish stage.
